Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Verdan websites and online services that link to these Terms, including verdanhq.com and related subdomains (collectively, the “Services”). The Services are operated by Vertex Collective Technologies LLC (“Verdan,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Eligibility

The Services are intended for adults 18 years and older. By using the Services, you represent that you are at least 18 and have the legal capacity to enter into these Terms.

2) The Services

The Services are currently provided primarily for marketing, informational, and communication purposes. We may modify, suspend, or discontinue any part of the Services at any time.

Some subdomains or future services (including any product, application, or API) may be governed by separate terms, which will control for those specific offerings.

3) No accounts, payments, or guaranteed availability

The marketing site does not require you to create an account and does not accept payments through the splash page. We do not guarantee that the Services will be uninterrupted, error-free, or available at all times.

4) Communications and demo requests

If you contact us (including by using a demo request form that opens your email client via mailto:), you are responsible for the content you send. We may respond to your inquiry using the email address you provide.

You agree not to send unlawful, harmful, or malicious content (including malware, spam, or phishing attempts).

5) Acceptable use

You agree not to, and not to assist others to, do any of the following:

  • Use the Services in any way that violates any applicable law or regulation.
  • Interfere with or disrupt the Services (including attempting to probe, scan, or test the vulnerability of any system or network).
  • Attempt to gain unauthorized access to any portion of the Services or related systems.
  • Use automated means (bots, scrapers) to access or collect content from the Services in a way that imposes an unreasonable load or circumvents access controls.
  • Use the Services to transmit spam, unsolicited communications, or malicious code.

We may suspend or block access to the Services at any time if we believe you have violated these Terms.

6) Intellectual property

The Services, including all content, text, graphics, logos, and the overall look and feel, are owned by Verdan or our licensors and are protected by intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

Except as expressly permitted by law, you may not copy, modify, distribute, sell, lease, publicly display, publicly perform, publish, or create derivative works from the Services without our prior written consent.

Verdan and associated logos and marks are trademarks of Verdan. All other trademarks are the property of their respective owners.

7) Feedback

If you provide ideas, suggestions, or feedback (“Feedback”), you agree we may use it without restriction or compensation, and without any obligation to keep it confidential, to the extent permitted by law.

8) Third-party services and links

The Services may:

  • load certain third-party resources (for example, fonts), and/or
  • contain links to third-party websites or services (e.g., social platforms).

We do not control third-party sites or services and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms and privacy policies.

9) Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERDAN DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • the Services will meet your requirements,
  • the Services will be uninterrupted, timely, secure, or error-free, or
  • any content is accurate, complete, or current.

The Services may include forward-looking statements about potential features or products. Any such statements are provided for informational purposes and do not create binding commitments.

10) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

VERDAN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, VERDAN'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED $100 USD.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

11) Indemnification

You agree to indemnify and hold harmless Verdan and its affiliates, and our respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your use of the Services,
  • your violation of these Terms, or
  • your violation of any law or the rights of any third party.

12) Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.

You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.

13) Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last Updated” date above. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
